INDEPENDENT CONTRACTOR AGREEMENT
By tapping “Next,” creating an account, accepting bookings, or continuing to access or use the Sport Sitters platform, you acknowledge that you have read, understand, and agree to be bound by this Independent Contractor Agreement.
This agreement (the "Agreement") is made and entered into between Sport Sitters, LLC, an Arizona limited liability company ("Company"), and ___Athlete Name___ an independent contractor ("Contractor" and, where applicable “I”).
WHEREAS, Contractor desires to provide services through the App as an independent contractor, subject to the Sport Sitters Terms and Conditions.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
1.0 INDEPENDENT CONTRACTOR STATUS
1.1 I acknowledge I am an Independent Contractor and not an employee of the Company, partner, joint venturer, or agent of the Company. I have no authority to bind the Company in any manner.
2.0 SERVICES
2.1 I may provide services to users of the Company’s platform by accepting bookings through the App, subject at all times to the Company’s Terms and Conditions.
3.0 COMPENSATION
3.1 I will be paid based on the rate shown in the app for jobs I accept. Final earnings may be adjusted based on the actual duration of the service, number of children present, or other booking-related factors, via the platform’s secure payment gateway. I acknowledge that compensation amounts, adjustments, and payment processing are governed by the Terms and Conditions.
4.0 EXPENSES & TAXES
4.1 I am solely responsible for all expenses incurred in connection with the performance of the Services. I am responsible for all taxes arising from compensation and other amounts paid under this Agreement.
5.0 NON-SOLICITATION OF BUSINESS
5.1 I will not solicit, attempt to solicit, or accept off-platform work of any kind from any users, families, clients, or platform-introduced relationships that arise from or are connected to use of the platform. Any attempt to move services off the platform or circumvent platform fees is strictly prohibited and may result in account suspension, removal, additional fees, or other enforcement action. This restriction survives account deactivation, deletion, graduation, or termination of platform access for any reason and is subject to the Sport Sitters Terms and Conditions.
6.0 TRAINING
6.1 I understand that the Company serves solely as a scheduling platform and does not directly provide childcare services. I acknowledge that informational materials may be made available by the Company regarding use of the App and general expectations associated with accepted bookings. I am responsible for reviewing such materials to the extent I choose to accept bookings through the platform. I may seek clarification if I do not understand any aspect of the platform or expectations for accepted jobs.
6.2 I understand that while the Company may provide guidance or informational materials, I remain solely responsible, as an independent contractor, for maintaining any skills, knowledge, or safety practices necessary to perform services I choose to accept through the App.
7.0 Name Image Likeness (“NIL”)
7.1 I agree to comply with Sport Sitters’ Name, Image, and Likeness (NIL) requirements on an ongoing and as-needed basis, including participation in promotional activities, social media content, or other brand obligations as outlined by the Company and subject to the Sport Sitters Terms and Conditions.
8.0 CONFIDENTIALITY
8.1 I acknowledge that during the performance of Services, I may have access to confidential and proprietary information of the Company. I agree to keep such information confidential and not to disclose it to any third party without the prior written consent of the Company. This obligation of confidentiality shall survive the termination of this Agreement.
9.0 TERMINATION
9.1 I understand that my engagement with the Company is at-will. I may stop providing services at any time and agree to notify the Company when I no longer wish to accept jobs on the platform. I also acknowledge that the Company may restrict, suspend, or remove access to me from the platform at any time, with or without cause or notice.
10.0 INDEMNIFICATION
10.1 I indemnify and hold harmless the Company from and against any and all claims, liabilities, damages, losses, and expenses arising out of my performance or during services rendered that are scheduled through the App.
11.0 GOVERNING LAW
11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflicts of laws principles.
12.0 ENTIRE AGREEMENT
12.1 This Agreement, together with the Terms and Conditions, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
13.0 AMENDMENTS
13.1 The Company reserves the right to modify or amend this Agreement at any time. Any such modifications will be posted online at www.sportsitters.pro/ica. Continued use of the platform or performance of services after such amendments are posted shall constitute the Contractor’s acceptance of the amended terms.
